Terms of Service

SulcusGroove Designs LLC, doing business as SyncSense AI ("SyncSense AI", "we", "us", "our"), operates the SyncSense AI platform located at https://syncsense.app. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, signing in with Google, Outlook or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SyncSense AI is a scheduling intelligence platform designed to help users identify and manage scheduling conflicts and organize calendar-related information. Features may include:

AI-assisted analysis of Outlook Calendar and Google Calendar events.
Schedule conflict detection.
Calendar views and reminders.
Ask AI, a conversational assistant for scheduling-related questions.
Quick Upload for screenshots and images.
Screen Capture for voluntary visual analysis of text and schedules.
Share to SyncSense.
Image → Invite.
Notifications and productivity tools.

Features may change, be added, or removed at any time.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least eighteen (18) years old to use the Service.

3.2 Account Registration

Access to certain features may require authentication through Google OAuth, Microsoft authentication services, or other supported authentication providers. You are responsible for maintaining the confidentiality of your account and all activity that occurs under your account.

3.3 Account Security

You agree to notify us promptly of any unauthorized access or suspected security breach involving your account.

4. Subscription Plans and Billing

Certain features may be available through paid subscription plans.
Fees are billed in advance and are processed through Stripe.
Subscriptions automatically renew unless cancelled before the next billing cycle.
You may cancel at any time. Cancellation becomes effective at the end of the current billing period.
Prices may change upon reasonable notice.

5. Artificial Intelligence Services

Certain features of the Service use third-party AI providers, provided by Anthropic and utilized by SyncSense AI. Information submitted for AI processing is used solely to provide requested functionality. We do not sell information submitted to AI providers and do not use such information for advertising purposes.

AI-generated responses, conflict detection, recommendations, and summaries are provided for informational purposes only and may contain inaccuracies. SyncSense does not guarantee the accuracy of any feature within the platform. Users are responsible for verifying important scheduling information before relying upon AI-generated output.

6. Google Integration and Data Access

6.1 Google Permissions

To provide requested features, SyncSense AI may request access to:

Google Calendar events.
User profile information, including name and email address.

This access is used solely to provide scheduling and conflict-detection functionality. SyncSense AI does not send email, modify calendar events, or perform actions on your behalf without your authorization.

6.2 Security

We use security measures appropriate for the scope and nature of the Service, including encrypted communications and reasonable access controls, to protect information.

6.3 Use of Google User Data

Information obtained from Google APIs is used solely to provide user-facing features requested by the user.
Google user data is never sold.
Google user data is never shared for advertising purposes.
Google user data is never used to create advertising profiles.
Google Workspace API data is not used to develop, improve, or train generalized artificial intelligence or machine learning models.

6.4 Google API Services User Data Policy

SyncSense AI's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

6.5 Data Deletion

Users may revoke Google access at any time through their Google Account settings. Users may request deletion of their SyncSense AI account and associated information. We will delete user information within a reasonable period except where retention is required by law.

7. Acceptable Use

You agree not to:

Violate any law or regulation.
Attempt unauthorized access to systems or accounts.
Reverse engineer or disrupt the Service.
Introduce malware or harmful code.
Use the Service to violate the rights of others.
Circumvent limitations or restrictions imposed by the Service.

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Screen Capture

Screen Capture features are initiated entirely by the user.
Users may stop screen sharing at any time.
SyncSense AI does not continuously monitor or record user screens.
Users are responsible for ensuring they have permission to share information visible on their screens.
Users should not share information they are not authorized to disclose.

9. Intellectual Property

The Service, including software, design, branding, and content provided by SyncSense AI, is protected by copyright and other intellectual property laws. You retain ownership of your own information and content. By using the Service, you grant SyncSense AI a limited license to process your information solely for the purpose of providing the Service.

10. Privacy

Our Privacy Policy explains how information is collected, used, and protected. Key principles include:

We do not sell personal information.
We do not share Google or Microsoft user data for advertising purposes.
We do not create advertising profiles.
Users may request deletion of their account and information.
We employ reasonable administrative, technical, and physical safeguards to protect information.

11. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCSENSE AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) FIFTY U.S. DOLLARS ($50).

13. Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service for violations of these Terms or for security, legal, or operational reasons. Provisions concerning ownership, limitations of liability, disclaimers, and dispute resolution survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. Users waive participation in class actions to the fullest extent permitted by law.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by posting updated Terms or providing notice within the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Miscellaneous

These Terms and the Privacy Policy constitute the entire agreement between you and SyncSense AI. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision shall not constitute a waiver. Neither party shall be liable for delays caused by circumstances beyond reasonable control.
